These Terms & Conditions ("Terms") are an agreement between Cladiant, LLC("Cladiant," "we," "us") and the individual or entity using our service ("you"). By creating an account or using cladiant.com or the Cladiant application (together, the "Service"), you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.

These Terms incorporate our Privacy Policy, Acceptable Use Policy, Refund & Cancellation Policy, and Disclaimer.

The service

Cladiant provisions and manages email mailboxes, domains, and DNS authentication across Google Workspace, Microsoft 365, and Azure Entra, and hands mailboxes off to your sending platform. Provisioning timelines, capacity, and availability are described on our site and may change as providers and infrastructure evolve.

Accounts & eligibility

You must be at least 18 and provide accurate account information. You are responsible for safeguarding your credentials and for all activity under your account and workspace, including your team members.

Acceptable use

Our Acceptable Use Policy sets this out in full and forms part of these Terms. In summary, you agree not to use the Service to:

  • Send spam, phishing, malware, or any message that violates anti-spam and privacy laws applicable to you and your recipients (including CAN-SPAM, GDPR, CASL, and similar).
  • Email recipients without a lawful basis or required consent, or continue emailing after an opt-out or unsubscribe request.
  • Violate the terms or acceptable-use policies of the underlying providers (Google, Microsoft, Azure) or your sending platform.
  • Resell or sublicense Cladiant inboxes without a written reseller agreement.
  • Reverse-engineer, scrape, overload, or attempt unauthorized access to the platform or other customers' data.

You are solely responsible for your campaigns, your content, your recipient lists, and your compliance. Deliverability and inbox placement depend on factors outside our control (your content, sending reputation, warmup, and recipient providers), and we do not guarantee any specific placement, open, or reply rate.

Domains

Domains you ask us to buy are registered through our registrar partner as a one-time, non-refundable purchase for the initial term. Renewal and hand-over terms are as described in the application; once a domain is handed to you, you are responsible for its renewal and management at the registrar.

Fees & billing

Subscriptions are billed monthly in advance through our third-party payment processor at the prices shown at checkout. One-time charges (such as domain registration) are billed on your first invoice. All prices and charges are in USD. You authorize us to charge your payment method for all fees, on a recurring basis until you cancel. Prices exclude taxes, which you are responsible for where applicable. Failed payments may result in suspension.

Cancellation & termination

You may cancel at any time from your billing portal; cancellation takes effect at the end of the current billing cycle, and we do not pro-rate partial-month refunds. We may suspend or terminate accounts that breach these Terms, incur chargebacks or unpaid balances, or create risk for the platform or its providers. On termination, your right to use the Service ends and provisioned resources may be de-provisioned. The full rules, including when we do refund, are in our Refund & Cancellation Policy.

Third-party providers

The Service depends on third-party providers (Google, Microsoft, Azure, our payment processor, domain registrars, and your sequencer). Your use of accounts and services provisioned through them is also subject to their terms, and their actions (including suspensions or policy changes) may affect the Service.

Disclaimers & limitation of liability

The Service is provided "as is" without warranties of any kind, to the fullest extent permitted by law. We are not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the three months before the event giving rise to the claim.

Indemnification

You agree to indemnify and hold Cladiant harmless from claims, losses, and expenses arising out of your use of the Service, your content and campaigns, or your breach of these Terms or applicable law.

Changes & governing law

We may update these Terms from time to time; material changes will be reflected in the "Last updated" date and, where appropriate, additional notice. These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules.
